Voice AI Receptionist & Google Reputation Management


1. Services

The Services include Voice AI Receptionist and Google Reputation Management (“Services”), which may include:

- Automated call answering, routing, voicemail capture, and SMS follow-ups

- AI-driven customer communication and appointment handling

- Automated review requests via SMS and/or email

- Review monitoring and reporting

- Google Business Profile review generation support

Features vary by plan and configuration selected during onboarding.


2. Setup & Onboarding Fee

A one-time setup/onboarding fee is required unless waived in writing. This fee covers system configuration, integrations, call flow setup, review automation setup, and testing. Setup fees are non-refundable once work has begun.


3. Subscription Billing

Services are billed monthly or annually in advance based on the selected plan.

- Monthly plans renew automatically every 30 days.

- Annual plans renew automatically every 12 months unless canceled prior to renewal.

- Prices are subject to change with written notice.


4. Cancellation & Termination

- Month-to-month plans: Require 30 days written notice to cancel. No partial refunds for unused time.

- Annual plans: Non-cancelable and non-refundable once the term begins.

- Failure to pay may result in suspension or termination of Services.


5. Refund Policy

All fees, including setup fees, subscription charges, and usage fees, are non-refundable once services have been delivered or access has been granted. By purchasing our services, you acknowledge and agree that all sales are final unless otherwise required by law.


6. Google Reputation Management Disclaimer

You acknowledge and agree that:

- We do not guarantee a specific number of reviews, star ratings, ranking improvements, or Google Business Profile outcomes.

- Review outcomes depend on customer behavior and Google’s policies and algorithms.

- Reviews cannot be edited, removed, filtered, or controlled by us. Any review flagged or removed by Google is outside our control.

- We do not post fake, incentivized, or manipulated reviews.


7. Client Responsibilities

You agree to:

- Provide accurate business information, call scripts, routing instructions, and review request preferences.

- Maintain access to your Google Business Profile, CRM, and required communication channels.

- Ensure all review requests comply with Google policies and applicable laws.

- Obtain proper customer consent for SMS, email, call recording, and review outreach.

You are solely responsible for the content and legality of customer communications.


8. AI & Automation Limitations

The Services rely on AI and automation. While designed for reliability:

- AI responses are not guaranteed to be error-free.

- Automation does not replace human oversight.

- We are not responsible for missed calls, misrouted calls, incorrect AI responses, customer dissatisfaction, or business outcomes.


9. Compliance & Legal Use

You are responsible for compliance with:

- TCPA, CAN-SPAM, and SMS/email consent laws

- Call recording and disclosure laws

- Google Business Profile and review policies

We assume no liability for non-compliant usage.


10. Service Availability

Service availability is not guaranteed. Downtime may occur due to:

- Maintenance

- Carrier or third-party outages

- Google, SMS, or voice provider disruptions

- Force majeure events


11. Limitation of Liability

To the maximum extent permitted by law:

- We are not liable for indirect, incidental, or consequential damages.

- Total liability shall not exceed the fees paid in the 30 days preceding the claim.


12. Intellectual Property

All workflows, automations, scripts, system configurations, and software remain our intellectual property unless otherwise agreed in writing. You are granted a limited, non-transferable license to use the Services during an active subscription.


13. Modifications

We may update these Terms at any time. Continued use of the Services constitutes acceptance of updated Terms.


14. Governing Law

These Terms are governed by the laws of the United States and the State in which the company is registered, without regard to conflict of law principles.

15. SMS Terms of Use

By opting in to receive SMS messages from Vibe AgentAi (Orange Monkey Studios LLC), you agree to receive transactional messages such as appointment confirmations, demo links, and service notifications, and promotional messages if separately authorized.

- Message frequency may vary. Message and data rates may apply.

- You may opt out at any time by replying STOP. For help, reply HELP or contact us at [email protected].

- You must be 18 years or older to opt in to receive SMS communications.

- Carriers are not liable for delayed or undelivered messages.


16. Acceptance

By submitting payment, you confirm that you have read, understood, and agree to these Terms & Conditions.
